1. Introduction and Acceptance of Terms

Welcome to Phalanx Talent Group ("we," "us," or "our"). We provide recruiting and HR consulting services for small businesses and retailers. By accessing or using our services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

Phalanx Talent Group offers a range of recruiting and HR consulting services, which may include, but are not limited to:

• Recruiting Services: Sourcing, screening, and presenting qualified candidates for open positions.
• General HR Consulting: Providing guidance on HR policies, employee handbooks, compliance, and training and development.
• Other Services: Any additional services agreed upon in a separate service agreement or Statement of Work.

3. Client Obligations

The Client agrees to:

• Provide timely, accurate, and complete information necessary for us to perform our services.
• Cooperate with us in all matters relating to the services.
• Notify us promptly of any changes to your hiring needs or business structure that may impact our services.
• Comply with all applicable labor laws and regulations related to hiring and employment.
• Pay all fees for services in a timely manner.

4. Fees and Payment

• Fees: Fees for our services will be outlined in a separate written agreement, proposal, or invoice.
• Payment: All invoices are due and payable within the period specified on the invoice, typically [e.g., 30 days] from the date of the invoice.
• Late Payments: We reserve the right to suspend services or charge a late fee for any overdue payments.

5. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential. This includes, but is not limited to, business plans, financial information, client lists, candidate data, and proprietary methods. Confidential information will not be disclosed to any third party without prior written consent, except as required by law.

6. Limitation of Liability

To the maximum extent permitted by law, Phalanx Talent Group shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption, arising from or in connection with our services. Our total liability for any claim arising out of these Terms shall not exceed the total fees paid by the Client to us for the services in the six (6) months preceding the event giving rise to the claim.

7. Indemnification

You agree to indemnify and hold harmless Phalanx Talent Group, its employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services or your breach of these Terms.

8. Intellectual Property

Any materials created by Phalanx Talent Group specifically for your business (e.g., employee handbooks, training materials) will be considered your property upon full payment for the services. Any pre-existing intellectual property, methodologies, or tools used by us remain our exclusive property.

9. Termination

Either party may terminate the services upon written notice. The Client is responsible for paying for all services rendered up to the termination date.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Parker County, Texas.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on our website. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
